These Terms and Conditions (the “Terms”) govern your access to and use of Supplier Nexus, including the supplier directory, accounts, subscriptions, and downloadable directory data. By using the website or creating an account, you agree to these Terms. If you do not agree, do not use the website.
1. About Supplier Nexus
Supplier Nexus provides a searchable business-to-business supplier directory and related informational tools. We are not a supplier, manufacturer, broker, agent, or party to transactions between users and listed businesses.
2. Directory information and verification
Supplier records may come from public sources, supplier submissions, licensed datasets, or other third-party sources. Supplier Nexus does not independently verify, certify, endorse, or guarantee any listed supplier, product, service, website, availability, pricing, identity, legal status, quality, safety, compliance, or business practice. Directory information may be incomplete, outdated, duplicated, or inaccurate.
You are responsible for conducting your own due diligence before contacting, contracting with, paying, or relying on any supplier. This may include checking licenses, registrations, references, samples, insurance, sanctions, product standards, and applicable import, export, safety, and consumer-protection requirements.
3. Accounts
You must provide accurate account information, keep login credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account. We may suspend or terminate accounts used unlawfully, fraudulently, abusively, or in violation of these Terms.
4. Directory access
Visitors may view a limited portion of the directory. A Subscriber plan may provide access to the complete online directory but does not include downloading or exporting the supplier list. A Premium plan may include directory download or export features. Access limits, features, and prices displayed at checkout form part of these Terms.
5. Subscriptions, billing, and cancellation
Paid plans, when available, will show the price, billing frequency, renewal terms, and material restrictions before purchase. By purchasing a recurring plan, you authorize the disclosed recurring charges until cancellation. You may cancel through the account controls or the cancellation method shown at purchase. Cancellation stops future renewals but does not ordinarily provide a refund for a billing period already started, except where required by law or stated in a separate refund policy.
We may change plan prices or features prospectively. We will provide legally required notice before changes take effect for an existing recurring subscription.
6. Downloads and permitted use
Premium downloads are licensed to the paying account holder for internal business research and sourcing. Unless we give written permission, you may not resell, republish, sublicense, publicly distribute, scrape, mirror, bulk-email, or use downloaded data to create a competing directory. You must comply with privacy, marketing, anti-spam, intellectual-property, and other applicable laws when using supplier information.
7. Prohibited conduct
You may not interfere with site security or operation; bypass access controls; share paid access credentials; use automated tools to extract data without permission; upload malicious code; impersonate another person or business; infringe intellectual-property or privacy rights; or use the service for unlawful, deceptive, or abusive activity.
8. Third-party websites and dealings
The directory contains links to third-party websites. Supplier Nexus does not control those websites and is not responsible for their content, security, availability, privacy practices, products, services, or transactions. Your dealings with a listed business are solely between you and that business.
9. Intellectual property
The Supplier Nexus name, branding, site design, software, compilation, and original content are owned by Supplier Nexus or its licensors and are protected by applicable intellectual-property laws. These Terms do not transfer ownership rights to you.
10. Disclaimers
To the maximum extent permitted by law, the website and directory are provided “as is” and “as available,” without warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or results. Nothing on the website is legal, financial, compliance, or professional advice.
11. Limitation of liability
To the maximum extent permitted by law, Supplier Nexus and its owners, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, business interruption, or losses arising from a listed supplier, third-party website, transaction, or reliance on directory information. Where liability cannot be excluded, it will be limited to the amount you paid to Supplier Nexus during the twelve months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold Supplier Nexus harmless from claims, losses, liabilities, and reasonable costs arising from your misuse of the service, violation of these Terms, unlawful use of directory data, or infringement of another party’s rights.
13. Changes and termination
We may update these Terms by posting a revised version and changing the effective date. Material changes will receive any notice required by law. Continued use after the effective date means you accept the revised Terms. We may modify, suspend, or discontinue site features and may terminate access for violations of these Terms.
14. Governing terms
These Terms are governed by applicable law. Any mandatory consumer rights that cannot legally be waived remain unaffected. If a provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver.
